Terms of Service

Welcome to Quohta. These Terms of Service ("Terms") govern your access to and use of the Quohta platform, including our mobile application, website, embeddable widget, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Definitions
"Quohta", "we", "us", or "our" refers to Quohta and its operators.
"Contractor" refers to any service provider who creates an account on Quohta to list services, accept orders, and receive payments.
"Customer" or "Homeowner" refers to any individual who places an order or interacts with a Contractor through the Quohta widget or marketplace.
"Widget" refers to the embeddable JavaScript code that Contractors place on their websites to accept orders and payments.
2. Eligibility
You must be at least 18 years of age and legally able to enter into contracts to use the Service. By using Quohta, you represent that you meet these requirements. Contractors must operate a legitimate business in the United States or Canada.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use.
4. Services Provided
Quohta provides a technology platform that enables Contractors to:
- List and manage their services with customizable pricing (flat rate, per-foot, or hourly)
- Accept online orders and credit card payments through an embeddable website widget
- Manage orders, customers, and leads through a mobile application
- Participate in a marketplace where Homeowners can discover Contractors by location and trade
- Receive ratings, reviews, and verification badges
Quohta is a technology platform and is not a party to any transaction between Contractors and Customers. We do not provide, perform, or guarantee any contracting services.
5. Payments and Fees
5.1 Payment Processing
All payments are processed through Stripe Connect. Contractors must create and maintain a Stripe Connect account to receive payments. Quohta does not store credit card information. All payment data is handled by Stripe in accordance with PCI DSS standards.
5.2 Platform Fee
Quohta charges a platform fee of 5% per transaction on all orders processed through the Service. This fee is deducted automatically from each payment before funds are transferred to the Contractor's Stripe account.
5.3 Free Trial
New Contractors receive a 30-day free trial during which the platform fee is waived (0%). The trial begins on the date of first sign-in. After the trial period, the standard 5% platform fee applies.
5.4 Stripe Processing Fees
Stripe charges its own processing fees (currently 2.9% + $0.30 per transaction in the US and Canada). These fees are separate from and in addition to the Quohta platform fee and are charged directly by Stripe.
5.5 Currency
The Service supports transactions in US Dollars (USD) and Canadian Dollars (CAD). The currency is determined by the Contractor's registered country.
6. Contractor Obligations
As a Contractor, you agree to:
- Provide accurate descriptions and pricing for your services
- Fulfill orders in a timely and professional manner
- Maintain all required licenses, insurance, and permits for your trade and jurisdiction
- Respond to customer inquiries and complaints in good faith
- Comply with all applicable local, state/provincial, and federal laws
- Not use the Service for any illegal, fraudulent, or deceptive purposes
7. Customer Obligations
As a Customer, you agree to:
- Provide accurate contact and payment information when placing orders
- Pay for services ordered through the platform
- Communicate respectfully with Contractors
- Submit honest and fair reviews and ratings
8. Marketplace and Verification
Contractors may opt into the Quohta Marketplace to be discovered by Homeowners. Marketplace participation may require verification of credentials including licenses, insurance, and background checks. Verification badges are displayed based on documents submitted and verified through the platform. Quohta does not guarantee the accuracy of any verification and Customers should conduct their own due diligence.
9. Ratings and Reviews
The Service includes a bidirectional rating system. Both Contractors and Customers may rate and review each other after a completed order. Reviews are subject to a blind review period and content moderation. Quohta reserves the right to remove reviews that violate our content policies, including reviews containing profanity, spam, personal information, or false statements.
10. Dispute Resolution
Quohta provides a three-tier dispute resolution process:
- Tier 1: Direct resolution between the parties (7-day window)
- Tier 2: Platform mediation with Quohta review (7-day window)
- Tier 3: Final decision by Quohta (5-day window)
Quohta's dispute resolution decisions are final and binding within the platform. This does not limit either party's right to pursue legal remedies outside the platform.
11. Intellectual Property
The Quohta platform, including all software, design, content, and trademarks, is owned by Quohta. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
12. Widget Embed License
Contractors are granted a license to embed the Quohta widget on their websites for the purpose of accepting orders and payments. The widget must not be modified, decompiled, or used in a manner inconsistent with its intended purpose. Quohta reserves the right to update the widget at any time.
13. Limitation of Liability
To the maximum extent permitted by law, Quohta shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Quohta's total liability shall not exceed the total fees paid by you to Quohta in the twelve (12) months preceding the claim.
Quohta is not responsible for the quality, safety, legality, or timeliness of services provided by Contractors. We are not liable for any disputes between Contractors and Customers beyond providing our dispute resolution process.
14. Indemnification
You agree to indemnify and hold harmless Quohta, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
15. Termination
Either party may terminate the account at any time. Quohta reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or receive consistently poor ratings. Upon termination, outstanding payments will be processed according to Stripe's standard payout schedule.
16. Modifications
Quohta reserves the right to modify these Terms at any time. We will notify users of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. For users in the United States, applicable federal and state laws shall also apply.
